APPLICABLE LAW AND JURISDICTION For any controversy deriving from the interpretation and execution of the contract and the General Conditions of Sale, Italian law will apply and the Court of Salerno will be exclusively competent, with the exclusion of any other concurrent or alternative court. If the Purchaser is based in a country Outside the EU, all disputes deriving from the contract and from the General Conditions of Sale will be definitively resolved by a panel of one or more arbitrators according to the regulation of the Chamber of Arbitration of Florence at the Chamber of Commerce of Salerno. The seat of the arbitration will be Salerno. In all cases, we reserve the right to take action at the competent court of the Purchaser's office for actions aimed at recovering the credit. Termini di consegna I termini di consegna variano in considerazione dei Prodotti ordinati e delle specifiche richieste avanzate dall’Acquirente; I termini di consegna devono sempre considerarsi indicativi e non sono vincolanti per il Venditore e possono variare anche in base al luogo di consegna. Laddove la consegna debba essere effettuata nel territorio Italiano, la consegna seguirà i 5 giorni lavorativi. Nel caso di "consegna fuori Italia", i tempi di consegna potrebbero essere più lunghi fino a 15 giorni lavorativi. Il Venditore si riserva il diritto di effettuare ragionevolmente consegne parziali. 13. Clausola risolutiva espressa L’inosservanza dei termini di pagamento, nonché il ritardo da parte dell’Acquirente nel ritirare i Prodotti che dovesse protrassi per oltre 30 (trenta) giorni dalla data di “merce pronta” danno diritto al Venditore di risolvere il contratto ex art. 1456 del cod. civ. mediante idonea comunicazione scritta, salvo in ogni caso il diritto del Venditore di: 1. trattenere quanto ricevuto dall’Acquirente a titolo di indennizzo per il danno subito e per l'uso della merce da parte dell’Acquirente, salve ed impregiudicate ulteriori azioni per il risarcimento del danno; 2. di sospendere ogni evasione di Ordini o residui d’Ordini in corso. 14. Diritto di recesso Il Venditore si riserva la facoltà di recedere dal contratto nel caso in cui, dopo la conferma dell’Ordine, gli pervengano informazioni commerciali relative all’Acquirente che, a suo insindacabile giudizio, sconsiglino l’esecuzione o la prosecuzione del contratto. L’esercizio di tale facoltà non attribuisce all’Acquirente alcun diritto al risarcimento danni o altro. 15. Legge applicabile e Foro competente Per qualsiasi controversia derivante dall’interpretazione ed esecuzione del contratto e delle Condizioni Generali di Vendita si applicherà la legge italiana e sarà competente esclusivamente il Foro di Salerno, con esclusione di qualsiasi altro foro concorrente o alternativo. Qualora l’Acquirente abbia sede in un Pese Extra UE, tutte le controversie derivanti dal contratto e dalle Condizioni Generali di Vendita saranno risolte in via definitiva da un collegio di uno o più arbitri secondo il regolamento della Camera Arbitrale di Firenze presso la Camera di Commercio di Salerno. Sede dell’arbitrato sarà Salerno In tutti i casi, ci si riserva il diritto di agire presso il foro competente della sede dell’Acquirente per azioni volte al recupero del credito.
